Commercial
Omar drafts and negotiates a wide range of commercial agreements, including procurement and sale contracts, SaaS agreements, indemnification and non-compete agreements, partnership agreements, and independent contractor agreements. He represents clients in the acquisition and sale of businesses (M&A), handling asset, equity, and stock purchase agreements, related ancillary documents, representations and warranties, and pre- and post-closing deliverables.
Real Estate
Omar’s real estate practice covers letters of interest, purchase and sale agreements, leases, CC&Rs, and SNDAs, along with title report review. He frequently serves as outside general counsel to real estate investors, resolving landlord-tenant disputes and advising on estoppels and letters of intent.
Banking & Finance
Omar drafts and reviews loan documents, loan modifications, and UCC-1 filings, and conducts title searches and issues legal opinion letters for banking and real estate clients.
Corporate
Omar forms LLCs, series LLCs, C-corporations, and S-corporations, and drafts and revises operating agreements, shareholder agreements, and bylaws.
