Dima Hanna brings a well-rounded perspective to business, transactional, intellectual property, and litigation matters, shaped by early experience in family law, criminal defense, personal injury, negotiations, and corporate-focused legal work, as well as a degree in International Business. Originally from Dubai, UAE, her practice reflects a cross-cultural perspective and a practical approach to helping clients evaluate risks, protect their interests, and move legal matters forward with clarity. Outside of her legal practice, Dima enjoys international travel and exploring new cultures, and spends her free time boxing, skiing, and attending live music events.

Dima's Representative Experience

Mergers and Acquisitions
  • Represented the sellers in the approximately $600 million sale of a U.S.-based food-product manufacturing company, negotiating the stock purchase agreement, rollover equity arrangements, employment and retention matters, and complex corporate structuring issues.
  • Represented the sellers in a $16.5 million sale of a U.S.-based technology and communications solutions company to a publicly traded Malaysian electronics manufacturing services company, advising on various cross-border transaction agreements and considerations.
Corporate Counsel
  • Served as outside corporate counsel to (a) technology, gaming, healthcare, and professional services companies; and (b) founders, investors, and emerging growth companies, advising on corporate governance matters, commercial agreements, venture capital and private equity transactions, equity financings, and shareholder considerations.
  • Represented clients in acquisitions and dispositions of commercial real estate assets, including purchase and sale agreements, due diligence, transaction closings, and post-closing leasing matters, including commercial leases with private-sector tenants and governmental entities, including the U.S. General Services Administration (GSA).
Intellectual Property
  • Managed domestic and international intellectual property portfolios, including trademark clearance, prosecution, enforcement, licensing, coexistence agreements, and brand protection before the United States Patent and Trademark Office and the World Intellectual Property Organization.
