Ismail maintains a hybrid practice that spans the full lifecycle of a company’s most significant matters — structuring and closing complex transactions on the front end, and defending the results through trial, arbitration, and appeal when disputes arise. Mergers and Acquisitions
Served as lead counsel to Custom Flavors in connection with its strategic partnership with Butterfly and Graham, guiding the client from the negotiation of the deal points through closing.
Represented Passport Technology in its merger with ASAI, including negotiation of definitive agreements, regulatory approvals, and post-closing integration matters.
Advised iConn, Inc., in connection with its merger with CAPE EMS, involving complex cross-border structuring and antitrust clearance in three jurisdictions.
Served as counsel to Exotics Racing in connection with its merger with Speed Vegas, including negotiation of definitive agreements, regulatory approvals, and post-closing integration matters.
Capital Markets
Represented a large gaming company in a $500,000,000 offering of senior secured notes, including negotiation of the indenture and related security documents.
Advised a technology company in a follow-on equity offering, including coordination with multiple sets of underwriters and compliance with applicable securities regulations.
General Commercial Litigation
Obtained a favorable settlement for a client sued in a trade secret matter with exposure of over $20,000,000, resulting in the recovery of attorneys’ fees and costs for the client.
Securities Litigation and Enforcement
Represented Michael Studer and Sea Friends Incorporated against Enerkon Solar International Inc. in a securities class action alleging violations of Sections [10(b)/11/12] of the Securities Exchange Act, resulting in a favorable settlement in the United States District Court, District of Nevada, Case No.: 2:21-cv-01122-JCM-VCF.
Arbitration and International Dispute Resolution
Represented Exotics Racing in an arbitration arising out of an employment dispute brought by a former employee, resulting in an award in the client’s favor.
Appellate
Secured affirmance of a favorable judgment on behalf of Rambunctious Ventures before the California Court of Appeal in Rambunctious Ventures LLC, et al., v. J.W. Financial Solutions, Inc., et al., Case No.: G064578, involving a contract dispute under California’s anti-SLAPP laws.
Secured affirmance of a favorable judgment on behalf of Abbey Dental Center, Inc. before the Ninth Circuit Court of Appeals in Consumer Opinion LLC v. Abbey Dental Center, Inc., Case No.: 18-15596.
